Contracts Administrator

Cary, NC

Position type: Regular Full-Time

Responsibilities

Primary responsibilities include: organizing and administering licenses and contracts in concert with the General Counsel; assisting with the drafting and safeguarding of license agreements and ensuring compliance of legal terms and conditions by Epic, its vendors, suppliers and licensees; working with General Counsel to develop and administer workload databases, track  licensee relationships and support business development and marketing departments to help document and commercialize Epic’s IP.

Qualifications

Experience with contract administration, IP administration and IP protection and filings.

 

Worked with legal department assisting in drafting and administering of software license agreements, evaluation licenses and non disclosure agreements, consulting services agreements, publishing agreements and related documents.

 

Serves as the initial point of contact for all supplier and vendor information and agreement drafts.

 

Acts as a liaison between General Counsel and management of contractual rights and obligations and provide clarification of contract terms and conditions, as directed.

 

Logs and updates contracts, licenses and agreements on a central database and maintains files containing data pertinent to each license, contract, subcontract or consulting services agreement.

 

Manage license and contract execution and, where required, patent, trademark and copyright filings, as directed by the General Counsel.

 

Using the tools provided, including the enterprise Contract Management Solution, types and compiles correspondence and various legal documents; reviews work for accuracy, format and compliance; provides administrative support to attorneys and contracts manager with corporate, contracts, licensing and litigation matters as necessary.

 

Provides administrative assistance to internal clients in developing licenses and agreements using the Contract Management Solution.

 

 

Updates company information received in the contract management system.

 

Complete monthly quality assurance check on all executed contracts for the previous month, insuring that executed contract is uploaded and in OCR format.

 

 

Assists in identification, development and implementation of new contract policy and processes; refer inquiries to the appropriate resource.

 

 

Organizing incoming information and keeping abreast of all priorities and events.

 

Monitors and schedules approvals and project deadlines and prepares and maintain records, reports and files related to the Law Department, as needed .

 

Ensures professional and /timely communication within the team as well as to the organization.

 

 

Schedules and coordinates meetings both internally and externally including the meeting logistics, hotel requirements, preparation of meeting materials, minutes taking and related duties.

Monitors email, voicemail and other correspondence and assist with the calendaring of legal matters for attorneys.

 

Attend meetings and events at the request of the General Counsel or senior management.

 

Creates law department databases and processes to efficiently track, catalogue and store executed agreements and law department deliverables.
